Steps for Registering a Representative Office in Uzbekistan

A foreign company wishing to open a representative office in Uzbekistan must apply for accreditation with the Ministry of Investment, Industry and Trade (MIIT).
The application can be submitted:

  • In person at the Centers of Public Services (CPS); or
  • Online through the my.gov.uz portal(EPIGU system).

Unlike other registration procedures, an EDS (electronic digital signature) is not required.


Required Documents

The following documents must be submitted with the application:

  1. Application form signed by the head of the foreign company and sealed (if available).
  2. Decision of the foreign company (or extract from it) on establishing a representative office.
  3. Regulations of the representative office (2 copies), signed by the head of the foreign company.
  4. Power of attorney issued to the head of the representative office.
  5. Power of attorney for a local representative (e.g., axvericon partners, ) to submit documents to MIIT.
  6. Extract from the trade register (or certificate of registration, trade license) confirming the company’s legal status in its home country.
  7. Constituent documents of the foreign company (charter, memorandum, or shareholder agreement).

📌 Legalization & Translation

  • All documents must be legalized (apostilled) and accompanied by a notarized translation into Uzbek or Russian.
  • For companies from countries party to the Minsk Convention (Russia, Belarus, Kazakhstan, Kyrgyzstan, Tajikistan, Ukraine, Azerbaijan, Armenia, Moldova, Georgia, etc.), legalization (apostille) is not required.

Accreditation Process & Duration

  • Accreditation is usually completed within 5 working days.
  • The MIIT reviews documents for compliance with Uzbek law and either approves or rejects the application.
  • If approved, the foreign company must pay a state fee of approx. USD 1,400 within one month.
  • After payment, MIIT issues an accreditation certificate (via CPS or the online portal).
  • The representative office is simultaneously registered with the tax authorities.

Rights & Limitations of a Representative Office

Once accredited, the head of the representative office may:

  • Obtain a seal (stamp);
  • Open bank accounts;
  • Hire employees.

The representative office operates on the basis of its approved Regulations and is funded by the parent company.
It may not conduct business activities beyond its stated functions.

Permitted expenses include:

  • Salaries of employees;
  • Rent, utilities, and taxes;
  • Business travel costs;
  • Purchase of office equipment and supplies;
  • Other costs related to its representative functions.
